OfficeWork Software SOC 2 Report - Terms of Use
This SOC2 Type II Report is intended only for use by prospects and customers of OfficeWork Software.
This SOC2 Report contains confidential information and by signing this agreement, you are agreeing to not distribute the report to parties outside of your organization. Furthermore you are agreeing to the following terms:

Purpose
The parties wish to explore a business opportunity of mutual interest relating to OrgChart Now and in connection with this opportunity, we are disclosing certain confidential technical and business information which we desire the receiving party to treat as confidential.

Confidential Information
"Confidential Information" means any information disclosed with the SOC2 report. If you are so required to disclose Confidential Information, you shall (i) disclose only that portion of the Confidential Information that it is legally compelled or otherwise required to disclose, (ii) use all reasonable efforts to ensure that such Confidential Information is treated confidentially, and (iii) notify us, in writing, as soon as reasonably practicable of the items of Confidential Information so disclosed.

Non-use and Non-disclosure
You agree not to use any Confidential Information for any purpose except to evaluate and engage in discussions concerning a potential business relationship between us. You agree not to disclose any Confidential Information except to representatives of your organization who are required to have the information in order to evaluate or engage in discussions concerning the contemplated business relationship.

Maintenance of Confidentiality
You agree that you shall take reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use of the Confidential Information. You shall not make any copies of the Confidential Information unless the same are previously approved in writing by us.
